Eight weeks. One complete offering file.

This is not a lecture series. Eight Sunday nights, live, 7:00 PM Central, ninety minutes each, starting July 19. Every week you build a working piece of your own private placement file. By week eight, the entire file gets stress-tested in front of the cohort.

What we cover

• Week One — July 27: What you are actually issuing, and why that one answer decides every rule that follows
• Week Two — August 3: Picking your exemption and putting the election in writing before you talk to anybody
• Week Three — August 10: Building the issuer, the capital stack, and a use of proceeds that holds up
• Week Four — August 17: The memorandum, section by section, built on your deal
• Week Five — August 24: The documents that actually create rights — subscription, the note, the collateral
• Week Six — August 31: Who is allowed to buy and who is allowed to sell — the week that keeps you out of trouble
• Week Seven — September 7: Your Form D, your state filings, and a clean close
• Week Eight — September 14: What happens after the money lands, and your file goes under the lights
